By accessing or using the Summit Brook website at summitbrook.surf (the Site) and engaging our consulting services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the Site or our services. These terms constitute a binding agreement between you and SUMMIT BROOKFIELD LLC.
2. Services Description
Summit Brook provides strategic advisory services including strategy development, operational improvement, market research, and analytics. The specific scope of each engagement is defined in a separate consulting agreement. These Terms of Service govern general use of the Site and are supplemented by engagement-specific agreements for client relationships.
3. Client Responsibilities
You agree to provide accurate and complete information necessary for the performance of our services. You are responsible for designating a point of contact, providing timely access to relevant personnel and data, and reviewing deliverables for accuracy. Summit Brook relies on the information you provide and is not responsible for inaccuracies resulting from incomplete or incorrect client-provided information.
4. Fees and Payment
Fees for services are specified in your consulting agreement. Unless otherwise agreed, fees are invoiced monthly and due within 30 days of invoice date. Late payments may incur interest at 1.5 percent per month. Summit Brook reserves the right to suspend services for accounts more than 45 days past due upon written notice.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of any engagement. Summit Brook will not disclose client confidential information to third parties except as necessary to perform services, as required by law, or with client consent. Our confidentiality obligations extend for three years following the termination of any engagement.
6. Limitation of Liability
SUMMIT BROOKFIELD LLCs aggregate liability arising from any engagement is limited to the fees paid for the specific services giving rise to the claim. In no event shall we be liable for indirect, incidental, consequential, or punitive damages including lost profits, business interruption, or loss of data.
7. Intellectual Property
All content on this website including text, graphics, logos, and analysis frameworks is the property of SUMMIT BROOKFIELD LLC and is protected by applicable intellectual property laws. Deliverables created specifically for a client during an engagement become the property of that client upon full payment of fees.
8. Third-Party Links
Our website may reference or link to third-party websites. We are not responsible for the content, privacy practices, or terms of those third-party sites. Your interactions with such sites are governed by their own terms and policies.
9. Termination
Either party may terminate a consulting engagement with 30 days written notice. Upon termination, client is responsible for fees accrued through the effective date. Summit Brook will provide final work product and transition support as specified in the engagement agreement.
10. Disclaimers
Our services are provided on an as is basis. Summit Brook makes no warranties, express or implied, regarding the accuracy, completeness, or outcomes of our recommendations. Results may vary based on factors beyond our control including market conditions, client execution, and competitive dynamics.
11. Governing Law
These Terms of Service are governed by the laws of the State of Connecticut. Any disputes shall be resolved exclusively in the courts of Fairfield County, Connecticut.
12. Changes to Terms
Summit Brook reserves the right to modify these Terms of Service at any time. Changes are effective immediately upon posting. Your continued use of the Site after changes constitutes acceptance of the modified terms.
